Terms of Service
Effective August 20, 2026
These Terms of Service govern access to GeeWhiz Studio's website, booking pages, AI Sprint services, and related communications. By accessing the website, submitting information, booking a session, or using the services, you agree to these Terms and acknowledge the Privacy Policy. Recording, marketing, and other activities that require separate consent are not authorized merely by accepting these Terms.
1. Services and scope
GeeWhiz Studio provides business discovery, research, advisory, implementation, and related services as specifically described in an accepted proposal, service description, or written agreement. Recommendations are decision support, not legal, tax, financial, employment, medical, or other regulated professional advice.
2. Client responsibilities
You are responsible for the accuracy of information you provide, for securing any internal approvals needed to share it, and for deciding whether and how to implement any recommendation. Do not provide credentials, payment-card data, tax identifiers, or other sensitive information unless GeeWhiz explicitly requests it through an approved secure method.
You represent that you have authority to act for the business you identify and the right to provide any information, content, or materials you submit. You remain responsible for reviewing outputs before relying on or deploying them.
3. Recording and transcription
GeeWhiz may offer to record or transcribe a discovery, review, or working session to prepare agreed deliverables. Recording or transcription will occur only after express, affirmative consent from all required participants. You may decline recording or transcription; GeeWhiz will confirm any resulting change to the service workflow.
Unless a longer period is needed for an active client matter, a legal obligation, or an agreed written extension, session recordings and transcripts are retained for no more than 90 days after service delivery and then deleted from GeeWhiz-controlled systems.
Deleting a source recording or verbatim transcript does not require deletion of summaries, analyses, proposals, action plans, deliverables, configurations, or other work product created from the session. GeeWhiz may retain that work product for legitimate business, service, recordkeeping, and legal purposes. Personal data and client confidential information contained in retained work product remain subject to the Privacy Policy and any applicable written agreement.
4. Confidential information and service providers
Each party will use reasonable care to protect nonpublic information received from the other and will use it only for the engagement, ordinary business administration, or as otherwise authorized. GeeWhiz may use vetted service providers, including scheduling, hosting, email, meeting, storage, security, payment, and artificial intelligence providers, to operate the website and perform services. Those providers receive information only as reasonably necessary for their function.
5. Artificial intelligence
GeeWhiz may use artificial intelligence tools to research public business information, organize client supplied information, analyze transcripts, draft recommendations, and support delivery. AI generated material may be incomplete or inaccurate and is reviewed as appropriate for the service. You must not submit information to GeeWhiz for AI processing unless you are authorized to do so.
6. Fees, payment, and refunds
Fees, payment timing, and any refund terms are stated in the applicable booking flow, proposal, invoice, or service agreement. Work that requires payment begins only after the applicable payment or written approval is received.
7. Intellectual property
Each party keeps ownership of its pre-existing materials. After payment in full, you may use deliverables prepared specifically for your internal business purposes. GeeWhiz retains its underlying methods, templates, software, reusable components, and general know-how.
8. Acceptable use
You may not use the website or services to violate law, infringe another person's rights, introduce malicious code, interfere with security or availability, gain unauthorized access, misrepresent your identity or authority, or develop or deploy a harmful, deceptive, or discriminatory system.
9. Third party services
Some parts of the service depend on platforms that GeeWhiz does not control. Your use of those platforms may also be governed by their own terms and privacy policies. GeeWhiz is not responsible for an interruption, change, or act of an independent third party, but will use reasonable efforts to communicate material effects on an active engagement.
10. Disclaimers and limitation of liability
Services are provided on an as-available basis. GeeWhiz does not guarantee a particular business result, cost saving, revenue outcome, tool performance, or third-party service availability. To the extent permitted by law, GeeWhiz's total liability arising from a service is limited to the fees paid to GeeWhiz for that service in the 12 months before the event giving rise to the claim.
11. Suspension and termination
Either party may end an engagement as allowed by the applicable proposal or written agreement. GeeWhiz may suspend access or work when payment is overdue, use creates a security or legal risk, or these Terms are materially violated. Provisions that by their nature should continue, including payment, confidentiality, intellectual property, disclaimers, and liability limits, survive termination.
12. Changes
GeeWhiz may update these Terms as services or legal requirements change. The effective date above identifies the current version. Material changes apply prospectively unless law or an accepted written agreement requires otherwise.
13. Governing law and venue
Texas law governs these Terms, without regard to conflict-of-law rules. Any dispute arising from these Terms will be brought exclusively in the state or federal courts located in Dallas County, Texas, unless applicable law requires otherwise.
